Secretary

Functionality

The tresurer functions are assigned to a Trustee.

The Secretary prepares the accounting notes and sends them to the trustee that updates the accounting books.

The main Tresurer/Trustee functions are:

  • The bookkeeping services.
  • Draw up the Estimated Budget.
  • Draw up the Final Budget.
  • To assist the Auditors during the budget control.

Functionality

The President is appointed by the Members Assembly and hold office for four years except resignation, and may be re-elected.
The first appointment is ratified in the constitutive assembly verbal.
The President has the legal representation of the Association towards third parties and chairs the meetings of the Steering Board and of the Members Assembly.
The President takes all the measures in the interest of the Association, in case of urgency can also takes the measures that fall within the competence of the Steering Committee and is obliged to report the same at the next Steering Board.
The President has the powers of ordinary management of the Association and can be delegated by the Steering Board to any powers that may also be of extraordinary administration.
In particular the responsibility of the President:

 

  1. Prepare the general outline of the medium term and annual activities program of the Association.

  2. Draft the annual report on the activities of the Association.

  3. Supervise on the facilities and services of the Association.

  4. Determine the organizational criteria that ensure efficiency, effectiveness, functionality and timely identification of opportunities and needs for the Association and the Associates.

  5. Enact internal regulations of the organs and structures of the Association.


The President finds, establishes and chair operational, technical and scientific committee, by determining the duration, mode of operation, goals and compensation.
For cases of unavailability or of absence or any other impediment of the President, he is replaced by the Vice President.

Vice President

The Assembly regularly constituted represents the totality of the members and its resolutions taken in compliance with the law and this statute obliges all members.
The Assembly is the highest deliberative organ of the Association and may be convened in ordinary and extraordinary sessions.
In particular the Assembly, is responsible for:

 

  1. Appoint every four years the President and the Steering Committee.

  2. Ratify the amount of annual membreship fee established by the Steering Committee.

  3. To approve the final budget, the budget and the program of activities drawn up by the Steering Committee.

  4. Approve amendments to the Statute of the Association.

  5. To decide on the possible dissolution of the Association and decide on the allocation of any funds of the Association.

  6. Decide on the possible membership to national and / or international associations.


The members in good standing with the payment of membershpi fee are entitled to intervene at the Assembly.
They may be represented by another member by written proxy.
Each member is entitled to one vote.
The resolutions of the Assembly are taken by majority of votes, whatever the number of participants with their physical presence or by proxy.
In counting the majority of votes are not taken into account the abstentions.
The Assembly is chaired by the President or in his absence by the Vice-President or, in his absence, by a member of the Steering Committee designated by the Assembly.
The Assembly Secretary functions are performed by the Secretary of the Association or in his absence by a person appointed by the Assembly.
The minutes of the Assembly will be prepared by the Secretary and signed by the President and the Secretary.
The decisions taken by the Assembly, both ordinary and extraordinary, engage all members, those in agreement as those in disagreement.
